Agreement to Terms

These Terms of Use ("Terms") constitute a legally binding agreement between you and Vivv Studio, a company registered in Israel ("Vivv," "we," "our," or "us"), governing your access to and use of the Vivv platform at vivv.studio and its services (collectively, the "Service").

Eligibility and Account

Age

Account Registration

To use Vivv, you must:

• Create an account with accurate information
• Enter any required access code during our beta period
• Maintain the security of your credentials
• Accept responsibility for all activity under your account

We are not liable for any loss or damage arising from your failure to protect your account.

Service Description

Vivv is an AI-powered video creation platform. It enables users to generate scripts, characters, storyboards, scene images, scene videos, narration, and compiled final videos through a guided workflow, and to download and optionally share created videos via public links.

Service availability: we strive for high availability but do not guarantee uninterrupted access. The Service may be modified, suspended, or discontinued at any time.

Beta: portions of the Service may be offered in beta or access-gated form. Beta features may change, be removed, or behave unpredictably, and are provided without any availability or reliability commitment beyond what these Terms expressly state.

Third-Party AI Providers

You acknowledge that:

• Underlying providers may change, deprecate, or remove models without notice
• Underlying providers enforce their own content and usage policies, and may reject prompts or content at their discretion
• Generation quality, speed, and availability depend on these external services and are outside our direct control
• Provider outages, rate limits, or policy changes may affect the Service
• Content you submit is transmitted to the relevant providers (some of which operate outside your country, including in the United States) solely to perform the generation you request

We are not liable for actions, decisions, or output of third-party AI providers, including content moderation decisions, service interruptions, or model behavior.

Credits, Tokens, and Payments

Credit Model

Vivv uses a dual credit system:

• Video Seconds — the duration of final video you can compile. Only final video compilation consumes video seconds (at the project's selected duration).
• Regeneration Tokens — used to iterate on generated content. Weighted costs apply per action (e.g., image regeneration costs less than video regeneration). Exact weights are configurable and may change.

Free Trial

• New users receive free trial video seconds and regeneration tokens on signup.
• One free trial per device: we use a device identifier to enforce fair use. If a free trial has already been claimed on your device, no further free trial credits will be granted. If you believe this is a mistake, contact contact@vivv.studio.
• Free trial amounts may change at our discretion.

Watermark on Free Tier

Videos compiled by users who have not made a purchase are automatically watermarked. Making a qualifying purchase removes the watermark from future compilations.

Account Types and Data Retention

Purchases and Subscriptions

• We offer one-time purchases (video-seconds bundles with included regeneration tokens), monthly subscriptions (recurring allocation), and standalone token packs.
• Subscriptions renew automatically each month until cancelled. You may cancel at any time in your billing settings; you retain access through the end of the current billing period. We do not prorate partial-month cancellations.
• Failed renewal charges: if a recurring charge fails, we may retry the charge and/or suspend allocation of new seconds and tokens until payment succeeds. If payment is not resolved within a reasonable period, the subscription may be cancelled automatically. Previously allocated seconds and tokens remain usable unless the account is terminated.
• Prices are subject to change with prior notice.
• Taxes: unless otherwise stated at checkout, prices are exclusive of VAT and other applicable taxes, which will be added where required by law. You are responsible for all applicable taxes, duties, and fees associated with your purchase.

Credit Expiration

• Free trial credits may expire according to promotional terms.
• Purchased video seconds and tokens do not expire as long as your account remains active.
• Credits and tokens are forfeited if your account is terminated for Terms violations or voluntarily deleted.

Credit Usage

• You will always see the cost before confirming a charged operation.
• On failed generations, credits and tokens are refunded or not charged.

Referral and Promotional Credits

From time to time we may offer promotional credits, referral rewards, or other free-of-charge video seconds or tokens. These credits:

• Are not transferable and have no cash value
• May expire according to the terms of the promotion
• May be rescinded, adjusted, or withheld if we reasonably determine they were obtained through abuse, fraud, self-referral, duplicate or fake accounts, or circumvention of eligibility rules
• Do not entitle you to a refund if rescinded

User Content and Intellectual Property

Your Content

"Your Content" means all content you upload, create, or provide on Vivv, including uploaded images, business descriptions, scripts, storyboards, characters, scenes, projects, and AI-generated content created through your use of the Service.

Commercial Use

You may use the output generated on Vivv for any lawful purpose, including commercial use, with no additional royalty owed to Vivv. You are solely responsible for any third-party rights (likenesses, trademarks, copyrighted material) appearing in content you submit or generate.

Your Representations and Warranties

By submitting content to Vivv, you represent and warrant that:

• You own or have all necessary rights, licenses, and permissions to upload and use the content, including any images, voices, names, logos, trademarks, or likenesses contained in it
• You have obtained the consent of any identifiable person whose likeness, voice, or name appears in your content
• The content does not infringe any third party's intellectual property, privacy, or publicity rights
• You are responsible for clearing any rights necessary for your intended use of the output

License to Vivv

You grant Vivv a worldwide, non-exclusive, royalty-free license to process, store, transmit, display, and create derivative works from Your Content solely as necessary to operate the Service and perform generations you request. This license ends when you delete Your Content or close your account (subject to the retention periods in our Privacy Policy).

Content Restrictions

You may not upload, create, or share content that:

• Violates any law or regulation
• Infringes intellectual property or privacy rights
• Contains viruses, malware, or harmful code
• Depicts illegal activity or graphic violence
• Contains hate speech, harassment, or discrimination
• Includes personal information or identifiable likenesses of others without their consent
• Depicts minors in any sexualized or harmful context
• Is sexually explicit or pornographic
• Impersonates others, brands, or public figures, or is otherwise fraudulent or deceptive
• Creates deceptive deepfakes of real identifiable people without their explicit consent, including (without limitation) celebrities, politicians, public figures, or private individuals
• Falsely attributes statements, actions, or endorsements to real people or organizations

Content Moderation

Content submitted to Vivv is subject to content moderation by us and by the third-party AI providers we use. Generations may be rejected (and no credits charged) if flagged. We reserve the right to review content in response to reports, remove violating content, suspend or terminate repeat-offender accounts, and report illegal content to authorities.

Public Sharing

Feedback

If you send us ideas, suggestions, or feedback about the Service, you grant us a perpetual, irrevocable, worldwide, royalty-free, sublicensable license to use that feedback for any purpose without obligation to you.

Free Tier Public Gallery

By compiling a final video under the free tier, you grant Vivv a non-exclusive, worldwide, royalty-free license to display, reproduce, and distribute that video on Vivv-owned channels (including the website, social media accounts, and marketing materials) for promotional purposes. Specifically:

• Gallery display is anonymous — no personal information (name, email, or account details) is shown alongside your video
• You retain full ownership of your video; this is a display license only, not a transfer of rights
• You can remove your video from public access at any time by deleting the project from your account
• Making a qualifying purchase exempts your future compilations from this gallery license; previously compiled free-tier videos remain subject to it until deleted
• We will not sell or sublicense your content to third parties; the license is for our own promotional use

If you do not want your free-tier videos used this way, do not compile them under the free tier — make a qualifying purchase first, or delete the video after compilation.

Vivv Intellectual Property

Vivv and all related trademarks, logos, designs, software, and content (excluding Your Content) are owned by us or our licensors. You may not copy, modify, distribute, reverse engineer, decompile, or attempt to extract the underlying prompts, models, schemas, or configuration of the Service, or create derivative works from our intellectual property, or use our trademarks without permission.

Limited License: we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal or business purposes, subject to these Terms.

AI and Output Disclaimers

• Accuracy: AI-generated content may contain errors, inaccuracies, hallucinations, or inconsistencies.
• Originality and resemblance: AI may inadvertently produce content that is similar or substantially similar to existing copyrighted, trademarked, or otherwise protected works. We make no warranty that any output is original or non-infringing.
• Likenesses: AI may generate content that resembles real people, brands, or works without your intent. You are responsible for reviewing output before any public or commercial use.
• No guarantees: we do not guarantee that AI-generated content will meet your expectations, requirements, or standards of quality.
• Your responsibility: you are solely responsible for reviewing, approving, and clearing all AI-generated content before any commercial, public, or third-party-facing use, including verifying that the content does not infringe any rights.
• Not professional advice: AI-generated content is for creative and informational purposes only — not legal, financial, medical, or other professional advice.

Acceptable Use Policy

You will not:

• Violate any applicable law
• Infringe intellectual property or privacy rights
• Upload harmful, offensive, or illegal content
• Create non-consensual deepfakes of identifiable real people, including celebrities, politicians, public figures, or private individuals
• Generate content that impersonates a brand, organization, or public figure in a misleading way
• Generate content depicting minors in any sexualized or harmful context
• Generate content intended to defraud, defame, or mislead (including fake news, fabricated quotes, or false endorsements)
• Harass, threaten, or abuse others
• Interfere with or disrupt the Service
• Attempt to gain unauthorized access to our systems or to any third-party AI provider through our Service
• Attempt to extract, infer, or reconstruct system prompts, instructions, tool schemas, model identities, internal data structures, or other non-public configuration of the Service or its AI components, whether by direct prompting, jailbreaking, prompt injection, role-play, social-engineering, or any other technique
• Probe, scan, fuzz, or test the Service or its AI components for vulnerabilities or behavior boundaries, except under a written authorization from us (e.g., a coordinated disclosure program)
• Attempt to bypass, disable, or circumvent safety filters, content moderation, rate limits, credit or token enforcement, watermarks, beta access gates, or any other access or usage controls
• Inject prompts, instructions, or content designed to manipulate the AI components into behaving outside their intended scope, including via uploaded files, scripts, scene descriptions, character or asset descriptions, narration text, feedback fields, or any other input
• Use the Service or its outputs to train, fine-tune, evaluate, or benchmark any AI model
• Abuse the free trial (including by circumventing device-level restrictions)
• Use automated tools (bots, scrapers) without permission
• Resell or redistribute access to the Service itself (distinct from your lawful use of videos you generate)
• Use the Service to build a competing product

Enforcement: violation may result in content removal, immediate revocation of free trial credits, account suspension or termination, legal action, or reporting to law enforcement.

Copyright Complaints

If you believe content on Vivv infringes your copyright, send a notice to contact@vivv.studio with the subject "Copyright Infringement Notice", including:

• Your contact information
• Description of the copyrighted work
• Location of the allegedly infringing content
• A statement of good-faith belief that the use is not authorized
• A statement that the information is accurate and that you are authorized to act
• Your signature (physical or electronic)

We will review valid notices, remove infringing content where appropriate, and may terminate accounts of repeat infringers.

Disclaimers and Warranties

Limitation of Liability

Some jurisdictions do not allow certain limitations of liability; in those cases, our liability is limited to the maximum extent permitted by law.

Indemnification

You agree to indemnify, defend, and hold harmless Vivv Studio and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

• Your use of the Service
• Your Content and any claims it infringes third-party rights (including likeness, publicity, copyright, trademark, or privacy rights)
• Your commercial use, distribution, or publication of output generated on Vivv
• Your breach of the representations and warranties in these Terms
• Your violation of these Terms or any law
• Your negligence or willful misconduct

Termination

Termination by You

You may terminate your account at any time via account settings or by contacting contact@vivv.studio. On termination, your access ends immediately, your data is retained according to the Privacy Policy (with a 30-day grace period), and remaining video seconds and tokens are forfeited (subject to the 30-day money-back guarantee).

Termination by Us

We may suspend or terminate your account immediately if you violate these Terms, engage in prohibited activities, or cause harm. We may also terminate or suspend the Service with reasonable notice.

Survival

Provisions that by their nature should survive (IP ownership, disclaimers, limitation of liability, indemnification, governing law) remain in effect after termination.

Dispute Resolution

Informal Resolution

Before filing a formal claim, contact contact@vivv.studio to attempt informal resolution. We will make a good-faith effort to resolve disputes within 30 days.

Governing Law and Venue

Injunctive Relief

Either party may seek injunctive or equitable relief in any court of competent jurisdiction to protect intellectual property or confidential information.

Class Action Waiver

To the extent permitted by law, you agree to bring claims only in your individual capacity, not as part of a class action or representative proceeding.

Changes to These Terms

We may update these Terms from time to time. For significant changes, we will email you and/or display a notice in the Service; changes take effect 30 days after notification. For minor changes, we will update the "Last Updated" date above. Your continued use after changes take effect constitutes acceptance. If you do not agree, you must stop using the Service.
